Terms & Conditions

2 Scope

These Terms & Conditions (“T&Cs”) apply to:

Our online courses and digital learning platform (LMS).
Recruitment and advisory services for international nursing professionals.
Our website, communication channels, and all related services.

3 Contract Formation

By clicking “Book Now”, submitting your order, and completing payment, you make a binding offer to purchase a course or service.
A contract is formed when you receive a written order confirmation from us via email.
Access to the learning platform is granted after successful payment.

4 Services

4.1 Online Courses / LMS

We provide in particular:

Language and specialist nursing courses
Learning materials
Live sessions (where applicable)
Progress tracking, tests, and certificates of participation
Access to instructors and support channels

4.2 Recruitment / Advisory Services

For nursing candidates, we may provide:

CV review and application assistance
Interview preparation
Guidance on document recognition
Introduction to selected employers (only with your consent)

4.3 Important Clarifications

We do not guarantee exam results, recognition outcomes, visa issuance, or employment.
We are not an employer of candidates.
All employment contracts are concluded directly between candidate and employer.
We do not offer Arbeitnehmerüberlassung (employee leasing).

5 Prices & Payment

All prices are in EUR.
Payment is due in advance.
Prices include 19% VAT according to § 12 Abs. 1 UStG.
Accepted payment methods include: credit/debit card, PayPal, bank transfer, and any other methods shown at checkout.

5.1 Payment Failure & Chargebacks

If payment fails or is reversed, your course access will be paused until payment is restored.
In case of unauthorized chargebacks, we may charge processing fees and block access.

6 Right of Withdrawal (Consumers Only)

According to EU Directive 2011/83/EU and German BGB § 355, Consumers have a 14-day withdrawal right.

6.1 Withdrawal Period

You may withdraw within 14 days without giving reasons.

6.2 Consequences of Withdrawal

You will receive a full refund, unless you requested that the service begins during the withdrawal period.
If you begin using the course before withdrawing, you must pay for the portion already consumed, calculated proportionally.

6.3 Waiver of Withdrawal

By explicitly requesting immediate access to course materials during checkout, you consent to the start of service and acknowledge that your withdrawal right expires once the course is fully provided.

6.4 How to Withdraw

You may use the EU model withdrawal form, but it is not mandatory.

7 User Accounts

You must provide accurate and truthful information.
Account credentials must be kept confidential.
You are responsible for any activity under your account.
Sharing or selling your account is strictly prohibited.

8 Course Changes, Rescheduling & Cancellations

We may adjust course schedules, instructors, or content due to operational needs.
If a live session is cancelled, we will provide a replacement session or alternative solution.
If a full course must be cancelled (e.g. due to insufficient participants, illness, force majeure), you will receive either:
- A full refund, or
- Free transfer to another course date.

9 User Conduct

You agree not to:

Upload illegal, offensive, or harmful content
Harass instructors or other participants
Distribute course materials without permission
Attempt to disrupt the LMS or misuse our systems

We may suspend or terminate accounts in case of violations.

10 Intellectual Property

All course content, videos, documents, logos, and materials remain the intellectual property of GuteCare or its licensors.

You receive a non-transferable, non-exclusive right to use materials solely for personal learning.

11 Responsibilities in Recruitment Services

For Candidates

You must ensure your documents, certificates, and statements are accurate and genuine.
We may assist but cannot guarantee any outcome from authorities or employers.

For Employers

Separate service agreements may apply, which take precedence over these T&Cs.

12 Liability

We are liable only for:
- Intent
- Gross negligence
For simple negligence, we are only liable for:
- Breach of essential contractual obligations (Kardinalpflichten)
- And only up to the typical foreseeable damages
The following remain unaffected:
- Liability for injury to life, body, or health
- Product liability law
- Data protection violations under GDPR (where applicable)

We are not liable for:

Exam results
Visa decisions
Recognition authority outcomes
Actions of employers or third-party providers

13 Force Majeure

We are not responsible for delays or failures caused by events outside our control (e.g., strikes, network outages, pandemics, natural disasters).

14 Termination

You may delete your account at any time.
This does not automatically create a refund entitlement unless required by law.
We may terminate accounts for misuse or non-payment.

15 Governing Law

These T&Cs are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules.

16 Online Dispute Resolution (ODR)

The European Commission provides an online dispute resolution platform:

We are not obligated nor generally willing to participate in consumer arbitration proceedings.

17 Language Clause

These Terms & Conditions are available in multiple languages. In case of conflict, the German version prevails where legally required.

18 Changes to These T&Cs

We may update these T&Cs for legal, technical, or business reasons. You will be notified of significant changes at least 14 days in advance.
